Terms of Service

These Terms of Service ("Terms") govern your access to and use of Konnect Deal Rooms ("Konnect DSR", the "Service"), provided by Konnect Insights ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

1. The Service

Konnect DSR is a digital sales room platform that lets sellers create shareable workspaces ("Deal Rooms") to collaborate with prospects and customers — including welcome notes, plans, files, process overviews, and engagement analytics. We may add, change, or remove features over time to improve the Service.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at support@konnectinsights.com if you suspect unauthorised use of your account.

3. Acceptable Use

You agree not to, and not to permit anyone else to:

• use the Service for any unlawful, infringing, deceptive, or harmful purpose;
• upload content you do not have the right to share, or that is malicious, illegal, or violates the rights of others;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, scrape, or resell the Service except as permitted by law.

4. Your Content

You retain all rights to the content you and your invitees upload or create in the Service ("Your Content"). You grant us a limited, non-exclusive licence to host, store, process, and display Your Content solely to operate and provide the Service to you. You are solely responsible for Your Content and for ensuring you have the necessary rights and consents to use it within the Service.

5. Deal Rooms & Shared Access

Deal Rooms can be shared with invitees, including via links. You are responsible for who you share a room with and for the content you make visible to them. Anyone with access to a shared room may view the content placed in it. Do not place content in a room that you are not authorised to disclose.

6. Plans, Free Tier & Billing

We may offer free and paid plans. Free-tier limits (such as the number of users) are described at sign-up and may change. Paid subscriptions, if purchased, are billed in advance on the cycle shown at checkout and are non-refundable except where required by law. We may change pricing on prospective renewals with reasonable notice.

7. Third-Party Services & Integrations

The Service may let you sign in with, or connect to, third-party services (for example Google, Microsoft, HubSpot, or Salesforce). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Konnect Insights and protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service. You may not use our name or logos without our prior written permission.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Konnect Insights will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim (or, for free use, USD 100).

11. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or for prolonged inactivity. On termination, your right to use the Service ceases; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example by posting the updated Terms here and updating the date above). Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. The courts located there will have exclusive jurisdiction over any dispute, unless otherwise required by applicable law.
